Expert answer

Can a licence be transferred to a numbered company instead of me personally?

Often yes, but a transfer is a regulator’s decision, not a change of name. Many licences can be issued to a corporation, including a numbered one, if it and the people behind it qualify. Some, such as municipal business licences, are non-transferable, so the company applies for its own. Settle the buying entity before any filing.

Reviewed

A numbered company is an ordinary corporation, and regulators generally treat it like any other applicant. What matters is the licence: who it was issued to, for which location, and what the issuing body requires before it approves a new licensee. The answer therefore changes by licence and by province, and it is always the regulator’s call.

Licences that can move to a company

Ontario’s liquor regulator says its licences are issued to individuals, partnerships or corporations for a specific location, and that a transfer is required when the licensee changes. British Columbia’s liquor regulator allows a licence to transfer to an eligible new licensee, with the current licensee starting the process. A numbered company can use either route if it and the people behind it are eligible.

Licences that cannot

Municipal licences often belong to one operator at one address. Richmond Hill, Ontario, says its business licences are non-transferable, and Saskatoon says its sidewalk café and parking patio licences are non-transferable and valid only for the location on the licence. In those cases the numbered company applies for its own, so allow for the wait when you set a closing date. See also which licences transfer when you buy a business.

What the regulator looks through

A corporation does not shield the people behind it. Ontario’s regulator requires personal disclosure from all officers and directors, requires entity disclosure from the applicant and from corporations holding a significant share of it, and generally will not approve a transfer where the recipient would not be eligible for a licence. British Columbia asks the proposed licensee for a personal history summary. Expect the individuals behind a numbered company to be reviewed as closely as you would be.

Choose the entity before you apply

Moving a licence later from yourself to your own company is a second transfer. Ontario’s regulator says it may offer a simplified process where the principal individuals stay the same, such as between a sole proprietorship and a corporation, but that is still an application. Settling the buying entity before the first filing avoids doing the work twice.
