Expert answer

Can I blend bank, vendor and buyer financing to buy a business?

Yes. BDC says a financing structure may combine your own investment, a business loan and seller financing. The catch is how the layers interact: the federal CSBFP excludes the vendor-financed portion, and lenders care which of them ranks first on the assets.

Yes. BDC says a financing structure may combine your own investment, a business loan and seller financing, and that it assesses the complete structure when it reviews a request. Blending is allowed. The harder part is making three sources of money, each with its own conditions, fit into one purchase without any of them blocking the others.

What each layer does

Your own cash is the first layer, and BDC says the down payment required depends on the transaction, the business’s financial health and your situation. The lender’s loan is the second; BDC says repayment can be set around cash flow. The vendor’s note is the third. BDC’s guidance for sellers lists vendor financing as one way a seller stays involved after closing, alongside an earn-out or a phased transfer of ownership.

Where the layers collide

The rules for one layer can limit another. Under the federal Canada Small Business Financing Program, the part of the price a vendor finances is not eligible for a CSBF loan. Where a program loan and other financing fund the same asset, the guidelines require the security on that asset to be equal in rank, and any earlier charge, including one created by an after-acquired clause in another creditor’s security agreement, needs a postponement. A vendor who expects first claim on the same assets is asking for something those rules may not allow.

Settle the order before you sign

Because each source reads the others’ terms, fix the price and structure first. BDC says you and the seller must agree a price before you apply, and its checklist asks for a letter of intent and an expected closing date. Then ask every source in writing how it will treat the others: who ranks first, whether the vendor note can be repaid early, and what happens if one layer is late. Seller financing and bank loan versus vendor financing cover each layer in more detail.
