Expert answer

What makes a business easy to sell?

A business that is easy to sell has revenue that would continue without the owner personally involved, financial records that reconcile cleanly to what was filed with the CRA, a diversified customer base, and contracts, leases, and licences that can actually transfer to a new owner without a fight.

Reviewed

Buyers and their lenders are pricing risk, not potential. A business that removes the obvious sources of risk before it goes to market attracts more serious offers and closes faster than one that leaves buyers to discover the risk themselves.

The traits buyers consistently reward

  • A management layer or trained staff who can run day-to-day operations without the owner present
  • Revenue spread across enough customers that losing any single one would not be a crisis
  • Financial statements that match the corporate tax returns, with add-backs that are explained and supportable
  • A lease, franchise agreement, and material contracts that can be assigned to a new owner with reasonable consent
  • A documented way of doing things, so training a new owner or manager does not depend on tribal knowledge
  • A track record of stable or growing revenue, rather than a single strong year surrounded by weaker ones

Why these particular things matter most

Each of these traits maps directly to a risk a buyer or their lender has to underwrite: will the business survive the transition, can the numbers be trusted, and can the legal relationships the business depends on actually change hands. A business that is strong on one of these but weak on the others still gets discounted, because buyers tend to price to the weakest link they find.

Industry and size still set the baseline

What counts as easy to sell varies by industry and by size of business; a professional practice, a trades business, and a retail location are judged on different specifics even though the underlying categories of risk are similar. A broker or advisor familiar with your sector can tell you which of these traits matters most for buyers actively looking in your space right now.
