Beneficial ownership register

A beneficial ownership register is a corporate record identifying the individuals who actually own or control a corporation, even where that control sits behind holding companies, trusts or nominee shareholders. Canadian corporations are increasingly required by law to maintain one, and in some cases to report it to a government registry.

Layered ownership structures are common even in modestly sized Canadian businesses — a holdco built through an estate freeze, a family trust holding shares for the next generation, or a corporation whose shares nobody has bothered to reconcile with actual control after years of informal changes.

Why buyers increasingly check it

A buyer’s corporate diligence on a target increasingly includes confirming who genuinely controls the corporation being acquired, not just who is listed as a shareholder of record. This matters practically — it identifies who actually needs to sign the deal documents and receive the proceeds — as much as it matters for compliance.

The mistake people actually make

Treating the register as a filing formality that a lawyer handles once and nobody looks at again. A regulator can penalize a corporation for an out-of-date register, and a buyer who skips checking it can inherit both that compliance gap and the harder task of untangling who the real sellers actually are before money can safely move.

How obligations differ by jurisdiction

Federally incorporated corporations maintain this record under the Canada Business Corporations Act’s requirements around individuals with significant control, while Quebec’s enterprise registrar independently introduced its own requirement for corporations to disclose their ultimate beneficiaries. A target’s actual obligations depend on which statute it is incorporated under, and increasingly on which provincial registry it must also report to.
