Buyer qualification

Buyer qualification is the process a seller or broker uses to assess whether a prospective buyer is financially capable, genuinely serious and a reasonable fit before sharing confidential information or moving toward a letter of intent. It typically involves a signed non-disclosure agreement, a short background conversation, and evidence such as proof of funds.

Buyer qualification is how a seller filters that pool before investing real time. It usually starts with basic screening: who is the buyer, why are they interested, and can they actually fund a purchase of this size.

Common qualification steps include a signed non-disclosure agreement before releasing the confidential information memorandum, a request for proof of funds or financing pre-approval, and a conversation about the buyer’s relevant experience or plans for the business. Brokers acting for a seller often run this screening on the seller’s behalf as part of the listing agreement.

Why it matters for both sides

Skipping qualification wastes time and risks sensitive financial information reaching the wrong people, including competitors. A buyer who is properly qualified early also tends to move faster later, since financing and intent questions are already answered by the time due diligence begins.
