Verify the OEM relationship independently, not through the seller’s account

A finishing line operating without a current approval is treated as a real deal issue, not a paperwork gap, because it can mean the line is not legally operable until the approval is corrected.

Verify WSIB clearance and machine-safety compliance independently

Confirm the shop’s WSIB clearance certificate status directly with WSIB rather than relying on a copy the seller provides, since this confirms there are no outstanding workplace insurance premiums owing and is generally a closing condition on an asset purchase in Ontario, with other provinces running their own equivalent workers’ compensation clearance process. Separately, ask whether the shop has any outstanding Ministry of Labour orders related to machine guarding or noise exposure on the punch, laser or bending equipment — an open order is a compliance timeline and a cost the buyer inherits, not simply a documentation gap to note and move past.

Custom tooling and dies built for a specific customer program are frequently customer-owned rather than shop-owned, so confirm which tooling actually transfers with the sale and which does not.

Separate customer-owned tooling from what the shop actually owns

Where the shop’s contract-manufacturing work runs on dies, fixtures or tooling built for a specific OEM program, confirm through the OEM agreement and any tooling schedule which items are shop-owned and which remain the customer’s property, since this is commonly misunderstood or left undocumented until a sale forces the question. Tooling that turns out to be customer-owned is not available to be sold, financed or relied on if that OEM program ever moves elsewhere, which changes both the asset base you are buying and the risk profile of that revenue stream. Where records are unclear, ask the seller to reconcile the tooling list against each OEM purchase order or program agreement directly, rather than accepting a general assurance that “most of it is ours” — the distinction has a real effect on both the purchase price and what you would need to invest to keep a program running if a piece of tooling turns out not to transfer.
