An aerospace parts manufacturer is worth what a buyer will pay for its normalized earnings once that buyer has priced in whether its AS9100 certification and special-process approvals will survive the sale intact, how concentrated its revenue is in a single aircraft program, and whether its traceability and configuration-control systems can stand up to a new owner’s own quality audit.
Valuing an aerospace parts manufacturer is not the same exercise as valuing a general machine shop, and treating the two as comparable is the fastest way to misprice one. The earnings still matter, but a buyer weighs them against questions that are specific to aerospace supply: whether the certification the shop trades on will actually survive a change of ownership, how much of its revenue depends on a single aircraft program’s production rate, and whether the systems behind every part — traceability, configuration control, process approvals — are strong enough to pass a buyer’s own audit rather than just the seller’s description of them. Two shops with identical trailing earnings can trade at very different prices once a buyer has worked through those three questions.
AS9100 is priced as an operating capability, not a certificate on the wall
AS9100 certification is issued to the legal entity and the facility, and it typically requires a transition or surveillance audit after a material ownership change rather than continuing automatically. A buyer is not simply pricing whether the certificate currently exists — they are pricing how mature the quality management system behind it is and how likely that system is to pass its next audit intact under new ownership. A shop with a clean audit history and a well-documented system is worth more than one that holds the same certificate with open corrective actions sitting in the background.
Program and platform diversification sets the floor under the price
Aerospace qualification cycles run in years, not months, which means a shop’s revenue is really a bet on a small number of programs continuing at their current production rate. A buyer discounts heavily for dependence on a single aircraft program, because that program’s rate cycle or cancellation risk becomes the buyer’s risk the day the deal closes. A shop whose revenue spreads across several programs and platforms, none of which alone determines the business’s future, is worth measurably more than one with the same trailing earnings concentrated in a single customer relationship.
Special-process approvals move value independent of overall earnings
Heat treating, plating and non-destructive testing approvals can be held directly by the shop or sourced through a qualified subcontractor, and that distinction matters more to a buyer than it might first appear. A shop holding its own special-process approvals removes a layer of execution risk and supply dependency that a buyer would otherwise inherit, and a knowledgeable buyer prices that difference as a distinct asset rather than folding it quietly into general goodwill.
Traceability and configuration control are systems a buyer is really buying
Every part has to be traceable to material heat and lot records and to the process records that produced it, and a buyer’s own technical reviewer will typically pull a sample of shipped work and trace it through the paperwork rather than accept a description of the procedure. A shop whose systems hold up under that kind of testing is worth more than one whose procedures look complete on paper but cannot be traced cleanly in practice — the gap between the two is not always visible until someone actually checks.
Recast earnings for what is specific to this sub-sector
As with most owner-operated manufacturers, valuation starts from normalized earnings — seller’s discretionary earnings or EBITDA once owner compensation and one-time items are added back. Aerospace shops carry quality-system overhead, calibration and inspection costs that a generalist buyer may not expect, and some also carry Scientific Research and Experimental Development tax credits tied to process development work; both belong in the normalization discussion rather than being read at face value from the income statement.
Who is bidding changes what the shop is worth to them
A larger aerospace tier supplier or OEM acquiring qualified capacity prices how directly the shop’s programs and approvals fit its own portfolio, and will often pay a premium for capacity it does not have to build from scratch. A private equity platform assembling an aerospace-manufacturing group prices how cleanly the shop’s quality system and certification standardize across several sites, since that consistency is what lets the platform add the next acquisition without repeating the qualification work. A strategic buyer chasing one specific special-process capability may pay disproportionately for that approval alone and care comparatively little about the rest of the earnings — three very different reads of the same shop, and a seller who understands which type is most likely to bid can anticipate what will actually move the price.
Multiples move with the specifics, never apply flat
Once earnings are normalized, buyers and sellers reference how comparable aerospace suppliers have traded as a general sanity check, and any such reference is illustrative industry discussion, never an appraisal of a specific shop.
