How do I sell an HR consulting firm built on my own client relationships?
Preparation usually involves moving client trust from you to the firm. Introduce a successor consultant to clients before the sale, write down how each client file works, organize your policy library, put retainers on written terms, and offer a defined transition period so the buyer sees the work continuing without you.
When clients hire you because they trust you, a buyer’s first question is simple. Will they stay once you leave? You cannot answer that with a promise. You answer it with evidence, built over months: clients who already work with someone else at the firm, files a stranger could pick up, and written terms for the work. Starting early gives more time to prepare.
Introduce a successor early
Bring a second consultant into client meetings well before you list. Let them lead small pieces of work while you stay close. Clients who have already met and worked with the next person may find the change easier. Confidentiality still applies, so tell clients what you are doing in terms your lawyer is comfortable with before you open the conversation.
Document the way you work
Write down, file by file, what you do for each client, what is outstanding and what they expect. Organize your handbooks, policy templates and checklists so a buyer can see what exists. If clients are on a standing arrangement, make sure it is in a signed engagement letter rather than a handshake. A buyer will ask for them, and gaps slow the process.
Offer a real transition period
A buyer may ask you to stay on for a time. A defined role, with clear tasks and an end date, reassures them. Our page on how a seller consulting agreement works explains the usual shape. Your lawyer can also advise on any limits on working with former clients afterward.
