Enterprise registrar (Registraire des entreprises du Québec)
The enterprise registrar (Registraire des entreprises) is the Quebec official, appointed by the Minister of Employment and Social Solidarity, who keeps the enterprise register under the Act respecting the legal publicity of enterprises. The register is public, and registered enterprises must file an annual updating declaration.
Anyone buying or selling a Quebec business can look up the enterprise in the register the registrar keeps. It holds filings the enterprise made about itself. It is separate from the RDPRM, which records rights over movable property. For the wider picture, see civil law and business sales in Quebec.
What the register and registrar do
- The registrar keeps and preserves the register, receives documents deposited in it and makes it accessible to the public
- Quebec.ca states that the information is public and that enterprises are responsible for the accuracy of what they declare
- Quebec.ca says all registered enterprises must file an annual updating declaration in the prescribed period, even with no changes
- Quebec.ca says an enterprise that fails to file two consecutive annual declarations or to submit mandatory information within the prescribed period may have its registration cancelled ex officio
What to check or ask
Ask whether the target’s annual declarations are current and whether the register’s information matches the seller’s own records. Other jurisdictions run their own, separate registries, so this entry covers Quebec only.
