Seasonality
Seasonality is the predictable rise and fall in a business’s revenue, cash flow or staffing needs tied to the time of year — landscaping in summer, retail in December, tourism in peak months. A buyer needs numbers across a full cycle, not a snapshot, or a strong season gets mistaken for the business’s normal run rate.
A landscaping company earns almost nothing in January and carries its year in six months. A ski hill runs the reverse. A tax practice earns half its year in eight weeks each spring. None of that is a flaw — it is the nature of the business — but it means a single month, or even a single quarter, says very little about how the business actually performs.
Why it matters to valuation and timing
Earnings need to be read across a full operating cycle, or a buyer risks pricing a strong season as if it were the annual average. Seasonality also affects working capital: a business heading into its slow season needs cash reserves that a buyer taking over mid-cycle may not appreciate until the first quiet month arrives.
What to check
- Monthly or quarterly revenue for at least two full cycles, not annual totals alone
- Staffing levels through the slow season — laid off, reduced, or carried at full cost regardless
- Whether the closing date lands in a slow month, a peak month, or mid-ramp
- Whether the working capital in the deal reflects the season the business is in at closing
