How do I check how a weight loss clinic’s clients pay before buying?

Ask for revenue split by how it was paid: clients paying as they go, prepaid packages and memberships, employer benefit-plan receipts and instalment plans. Each affects cash timing, refunds owed after closing and how much revenue could change if a plan stops paying.

Two clinics with the same yearly revenue can behave very differently. One collects at each visit. Another collects months in advance and owes a long run of service. The payment mix tells you when cash arrives, what you may owe on day one and how fragile the revenue is.

Pay-as-you-go and self-pay

Self-pay clients settle at the visit or by card. This is the simplest revenue to verify: match card statements and till reports to the sales records. It is also the easiest for clients to stop, so look at how often the same people come back.

Prepaid packages and memberships

Prepaid money is cash the clinic has received for service it has not yet delivered. Ask for a list of every client with unused balance. Work out with your accountant and lawyer how that obligation is handled at closing, and whether the purchase price should reflect it. Ask also about the refund practice, and ask your lawyer whether refund promises pass to a new owner.

Benefit-plan receipts

Some clients are reimbursed by an employer or private benefit plan. Ask what share of clients that covers and how receipts are issued. If a plan changes what it reimburses, those clients may stop. Whether any public plan covers a given service is a question for the proper authority, not something to assume.

Payment plans and collections

When clients pay in instalments, check how much is outstanding, how often payments fail and who carries the risk. If a third-party finance company is involved, read its agreement with the clinic. It may not pass to you automatically.
