Buying an existing Kelsey’s

The Kelsey’s and Recipe Unlimited franchising pages read do not say whether existing restaurants are offered for sale (as published, read Oct 22, 2026). A resale is bought from the current franchisee at the price that seller sets, and the franchise agreement may require the franchisor’s consent, a transfer fee or retraining.

What Kelsey’s says about existing restaurants

Kelsey’s pages describe how a new franchise partner joins: an inquiry, an application, a discovery day with “the chance to talk with existing franchisees”, a business plan, an executive review, review of the franchise disclosure document, site selection and build-out, and training (as published, read Oct 22, 2026). The sentence about existing franchisees is an invitation to ask them questions, not an offer of a restaurant for sale. No page read names a Kelsey’s for sale or says how Recipe handles a franchisee’s sale of a restaurant.

Resale or new restaurant?

A resale is the sale of a trading restaurant by its franchisee: an existing lease, equipment, staff and sales history can be part of what is being bought, and the asking price is that seller’s number. A new restaurant is built by the franchisee under a new franchise agreement, and the investment range Recipe publishes for Kelsey’s ($1.4M - $2.9M) is the franchisor’s figure for that route. The two are not the same decision, and an asking price is what the advertiser wrote, not a valuation. Ask the advertiser whether the restaurant is franchised and what its lease and franchise agreement say about assignment.

The franchisor may still have a say

A franchise agreement can make a transfer conditional on the franchisor’s consent, and the franchisor’s pages do not say what Recipe requires of a buyer, so ask. Who has to approve a franchise resale explains the approvals that can run on separate tracks. Ask also about a transfer fee, whether the buyer must complete training (does a resale require retraining?) and whether the restaurant must be renovated to a current standard (do I have to renovate a franchise resale?).

Disclosure before you sign

In Ontario, the province where Kelsey’s is currently listed, the franchise statute requires that the prospective franchisee receive a disclosure document not less than 14 days before the earlier of signing the franchise agreement or any other agreement relating to the franchise and paying any consideration relating to the franchise, unless an exemption applies. Ontario’s Arthur Wishart Act (Franchise Disclosure), 2000 is one example: section 5(7)(a) exempts “the grant of a franchise by a franchisee” only if every listed condition is met, including that the grant “is not effected by or through the franchisor”, and section 5(8) says a grant is not effected by or through the franchisor merely because the franchisor has a right, exercisable on reasonable grounds, to approve or disapprove it, or because a transfer fee set out in the franchise agreement (or not exceeding the franchisor’s reasonable actual costs of processing the grant) must be paid. Whether an exemption fits a particular resale depends on the facts, which is a question for a franchise lawyer before you sign. See what disclosure a resale buyer gets.
