How do I check a photography studio’s contracts with schools and sports leagues?

Ask for every school and league agreement, with dates, renewal terms and who signed. Check whether the contract can pass to a new owner, how the studio won it, and who the relationship rests on. A contract that ends soon or depends on one person needs a closer look.

Ask first for a list of all school, team and league arrangements and the paperwork behind each one. Some are formal written agreements, others are habits renewed each season. Know which is which. For the written ones, ask for the start and end dates, renewal terms, exclusivity, any fees paid to the group and how either side can end it.

Read for assignment. Some agreements need the customer’s consent before a new owner can take over. Your lawyer can read the documents and tell you what they say and what to ask for. Do not assume that a contract will transfer just because the work continues.

Then ask about the relationship. Who deals with the principal, coach or league organizer? How was the work won, and was it by bid? Ask permission to speak to a few contacts and find out how they feel about the studio, and whether they plan to review their supplier. Last, look at how much of the studio’s season rests on these groups, and what happens if one leaves. Ask how the studio is paid, such as direct sales to parents or a fee, and whether the group takes a share. Ask how many sessions each group supplies.

Key takeaways

  • Collect every written agreement and note renewal and exit terms.
  • Ask your lawyer whether each contract can pass to a new owner.
  • Speak to a few contacts, with permission, about their plans.
